About The RoleExciting new opportunity for a Company Secretarial Assistant to join our Company Secretariat Department providing company secretarial and compliance support to the secretariat function which has primary responsibility for property management entities to over thirty management companies for various clients. ResponsibilitiesAssisting in the administration of UK Companies including maintenance of UK Company Statutory Books and Registers and ensuring compliance with Companies House filing regulations. This includes preparing and filing annual accounts, compliance statements, and other company forms within deadlines. Obtaining necessary Shareholder and Director Approvals and advising on required approvals, organizing meetings, preparing agendas, resolutions, and minutes. Managing appointment and resignation of directors and obtaining approvals under the Articles of Association. Maintaining company share registers, overseeing share allocations, transfers, and registrations as per the Articles of Association. Preparing and overseeing legal document execution, advising on company signatories, and ensuring proper filing of copy documents and approvals. Additional TasksUpdating and managing the Company Secretarial software. Drafting routine client reports. Handling routine enquiries from tenants, suppliers, directors, shareholders, and legal representatives. Advising directors on duties and compliance with legislation and articles of association. Filing and retaining documents. Ensuring the smooth operation of the Secretariat department. Performing other duties as assigned by the Partner or Assistant Company Secretary. Financial ResponsibilitiesSupporting finance and audit teams with annual accounts and service charge budgets, arranging approvals, and statutory filings. Other DutiesDrafting legal documents and arranging signatures. Overseeing property ownership changes, liaising with solicitors, and conducting AML checks. Collaborating with Property and Park colleagues to ensure compliance with obligations under Service Agreements. Assisting auditors, joint venture partners, and related parties. What We Expect From YouStrong organizational and administrative skills, high accuracy, attention to detail, and the ability to work independently. Excellent interpersonal and communication skills, both written and verbal. Desirable QualificationsExperience in a similar role, with company secretarial or commercial property background, or qualified/part-qualified company secretary. Degree qualification. Professional accreditation. Legal or company secretarial experience. Property background.
