Headquartered in Madrid, Konecta delivers global revenues of €2 billion with more than 500 clients, covering some of the biggest names in telecoms, energy, banking, mobility, retail, and e-commerce.MISSION OF THE ROLEWe are seeking a skilled and experienced Legal Counsel based in the UK, to support our growing business in the English Speaking Market Region (UK, USA, South Africa and India), focusing on commercial law, M&A, and corporate matters. This role will focus on commercial law, M&A, and corporate matters in the BPO, AI, and tech industries. This individual will assist in managing the company's legal affairs and work closely with senior leadership to provide legal advice and support with commercial transactions, mergers and acquisitions, and corporate governance.RESPONSIBILITIESCommercial Law & Contracts:Draft, review, and negotiate commercial contracts with clients, vendors, and partners across the BPO, AI, and tech sectors.Provide advice on contractual obligations, risks, and opportunities to mitigate potential legal challenges.Ensure compliance with applicable laws and regulations in all commercial agreements, particularly within the UK, USA, and South Africa.Mergers & Acquisitions (M&A):Support the company’s M&A activities by providing legal advice on structuring, due diligence, and negotiation of deals.Assist with post-merger integration, managing legal aspects of the integration process, and ensuring regulatory compliance.Collaborate with external legal advisors to handle complex cross-border M&A transactions.Corporate Governance & Compliance:Advise on corporate governance matters, including board structure, shareholder rights, and compliance with local and international regulations.Ensure the company’s operations comply with relevant corporate laws and regulations in the jurisdictions where it operates.Assist in the development and implementation of internal policies and procedures, particularly related to corporate governance and risk management.Risk Management:Provide ongoing legal guidance to ensure the organization mitigates potential legal risks associated with contractual obligations. Advise on how to structure agreements in a way that balances business objectives with legal and regulatory requirements.Data Protection & Privacy:Provide legal counsel on data protection, privacy laws, and regulations (e.g., GDPR, CCPA, etc.) ensuring the company's compliance with applicable data protection requirements.Advise on data processing agreements, data transfers, and the protection of personal data in all commercial transactions.Assist in developing and maintaining data protection policies and procedures, particularly in the context of cross-border data flow and international privacy compliance.REQUIREMENTSLaw degree from a reputable institution (UK, USA, or internationally recognized).3-6 years of experience practicing commercial law, M&A, and corporate law, ideally with a focus on BPO, AI, and tech sectors.Knowledge of corporate governance, M&A transactions, and commercial contract law.Experience working in a fast-paced and global environment.English fluent; Spanish will be considered a plus.
