Corporate SecretaryDepartment: LegalLocation: LondonSalary: Competitive + Bonus + BenefitsWFH: Hybrid working modelDirect Reports: N/AKey ResponsibilitiesAct as liaison with external Boards and AIFM entities in jurisdictions such as Luxembourg, Guernsey, and Ireland.Schedule and coordinate Board meetings and AGMs, including preparing and circulating agendas and board packs.Manage the preparation and delivery of quarterly, annual, and ad hoc Board reports and materials.Attend Board meetings, contribute to discussions, and provide input on legal, governance, accounting, and tax matters.Draft and maintain agreements with external Board members.Prepare annual compliance reports (e.g. ALFI Code of Conduct) and manage follow-up communications with Boards.Manage relationships with third-party corporate secretarial service providers across multiple jurisdictions.Ensure service providers meet their responsibilities, including filing documents, maintaining records, and submitting statutory returns.Draft meeting minutes, resolutions, and ensure timely filing of legal documents and annual returns.Maintain statutory books and registers, including details of directors, members, and secretaries.Develop and update internal procedures and policies related to Board governance and service provider interaction.Ensure all policies are clearly documented and communicated to relevant stakeholders.Create and update structure charts for group entities, funds, SPVs, and separate accounts.Maintain internal and external entity management systems and tools, including coordinating with legal counsel when needed.Other Responsibilities:Monitor legal and regulatory developments, assess their impact, and lead or support implementation projects (e.g. UK Economic Crime and Corporate Transparency Act).Update internal legal/regulatory reports.Coordinate with legal counsel and internal teams to develop and manage implementation plans.Prepare or review required documentation and oversee project delivery.Manage trademark registrations and monitor existing trademarks for the group.Support the offboarding of group entities and fund structures:Coordinate with legal counsel and internal teams to develop step-by-step plans for extensions and liquidations.Draft relevant documentation and attend meetings related to entity or fund closures.Liaise with the Boards and respond to queries, including input from legal advisers.Act as point of contact for external regulators, legal advisers, and auditors as required.Oversee and liaise with third-party administrators and other service providers to ensure quality and compliance.Knowledge and Experience Required:A qualified corporate lawyer with strong experience in private funds, corporate governance, and regulatory frameworksA Chartered Company Secretary with a minimum of 5 years’ experience in a company secretarial or governance role within a private markets asset management firm or financial services environment.Demonstrated experience working with closed-ended fund structures, including limited partnerships, SICAVs, RAIFs, or other alternative investment vehicles across multiple jurisdictions.Familiarity with the full fund lifecycle, from launch and fundraising to winding up and liquidation.Proven ability to manage board and committee processes, including scheduling, minute-taking, preparing board packs, drafting resolutions, and ensuring compliance with statutory and regulatory requirements.Comfortable interacting with senior stakeholders, including board members, legal counsel, regulators, and service providers.Regulatory and Compliance Awareness.Strong understanding of relevant corporate, regulatory, and compliance frameworksExperience tracking legal and regulatory developments and supporting internal implementation projects.Our ambition is simple – to do our best for our people, clients and communities.We are determined to make a positive difference at work and beyond - this starts with hiring the best talent without consideration of race, religion, colour, national origin, age, gender, sexual orientation, marital status or disability.
