Job Description We are seeking a versatile Corporate Counsel to join our legal team. This is a high-impact role designed for a "Swiss Army Knife" legal professional who thrives in fast-paced environments. You will navigate complex regulatory landscapes in the FinTech, Payments, and Crypto sectors while supporting our global entity structure. The ideal candidate will combine agility to handle day-to-day corporate issues with the expertise to support strategic acquisitions.Key ResponsibilitiesCorporate Governance & Incorporations: Oversee corporate governance for a global web of entities, ensuring compliance with local statutory requirements. Manage the end-to-end incorporation process for new entities across various jurisdictions.Group Restructuring: Provide legal architecture for complex corporate reorganizations and divestitures. Execute and manage ongoing structural updates for the group footprint.Stock Option Programs: Advise on, implement, and maintain the company's employee stock option programs globally.Acquisition Support: Support the legal lifecycle of domestic and international acquisitions, assisting with initial due diligence, SPA drafting, and post-closing integration.Intellectual Property Management: Manage and protect the company's global intellectual property portfolio, tackling day-to-day legal hurdles relating to IP protection, trademark registrations, and strategic licensing.Required Experience & SkillsQualification: Qualified Solicitor in England & Wales (or equivalent Common Law jurisdiction).Seniority: Minimum of 5+ years PQE of sophisticated in-house or corporate law firm experience.Acquisition Experience: A proven track record of supporting M&A deals, assisting with term sheets, and managing diligence processes.Sector Knowledge: Substantial experience in Payments or Crypto is essential. You must be comfortable with the nuances of e-money regulations and digital asset frameworks.Drafting Excellence: Ability to take a "blank page" approach to complex, non-standard contracts.
