Job Description

New Company Secretary position working with a top performing specialty insurer operating within the Lloyd’s market. You will be tasked to manage company secretarial and corporate governance responsibilities for the UK and affiliated international operations. Key Responsibilities:Organise/ support Board & Committee meetings, including agendas, minutes, and follow-upsAdvise on governance practices, directors’ duties, and regulatory expectationsMaintain statutory records and ensure timely filings with Companies House and other bodiesMonitor and support compliance with the UK Corporate Governance Code, SMCR, and Lloyd’s frameworksLiaise with regulators (e.g., Lloyd’s, PRA, FCA) on governance-related mattersOversee company formations, dissolutions, and corporate structure updatesMaintain governance policies and support regular policy reviewsManage D&O insurance, shareholder communications, and corporate recordsContribute to director onboarding and ongoing governance trainingSkills & Qualifications:Company Secretary / Deputy Company Secretary experience within the insurance industryExperience supporting international entities and working with regulatory bodiesChartered Secretary (e.g., ICSA/CGI) or similar governance/legal qualification preferred
